1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and Druvly (“Druvly,” “we,” “us”). They apply when you visit druvly.com, create an account, or buy any of our services.
By creating an account or submitting a project, you agree to these Terms. If you're agreeing on behalf of a business, you confirm you have authority to bind that business, and “you” means that business.
2. What we provide
Druvly designs and builds websites for home-service businesses. A website project includes:
- Designing and building your website, including writing the copy;
- Placing and cleaning up the photos you provide;
- Pages for your services and the areas you serve;
- Contact or quote-request forms that send inquiries to you;
- 2 rounds of fixes after delivery, as described in Section 5.
Logo design is not included. Hosting and ongoing maintenance are optional and described in Section 8. Anything outside this scope, such as online stores, custom software, or third-party integrations we don't already support, may be quoted separately or declined.
3. Your account
You need an account to start a project. Give us accurate information, keep your login secure, and tell us promptly at hello@druvly.com if you think someone else has accessed it. You're responsible for activity under your account.
4. Price and payment: pay only if you like it
There is nothing to pay to start. After you submit your project details, we build your website and send it to you to review.
- If you like it, tell us you accept it. We'll send you an invoice for a one-time fee of $1,200, due within 14 days of the invoice date.
- If you don't like it, tell us and you owe nothing. We'll take the website down and won't use it for anyone else.
- If we don't hear from you within 30 days of delivery, we may take the website down. You can contact us to pick it back up.
Prices are in U.S. dollars and don't include taxes unless stated; you're responsible for any applicable taxes. Because you only pay after reviewing and accepting the finished website, payments are non-refundable once made, except where required by law. If an invoice isn't paid when due, we may take the website offline until it is.
We may change our prices for future projects. The price shown when you submit your project applies to that project.
5. Fixes and changes
After delivery, your project includes 2 rounds of fixes requested within 14 days. A round is one list of changes we make together, such as wording, photos, colors, or layout tweaks within the existing design.
After that, changes are billed at $80 per hour. We'll give you an estimate and get your approval before doing any paid work. Redesigns and new features may be quoted separately.
6. Your content
You own the content you give us: your business name, logo, photos, text, reviews, and other materials (“Your Content”). You give Druvly permission to use, copy, edit, and display Your Content only as needed to build, host, and maintain your website.
You confirm you have the rights to everything you provide, and that it's accurate and lawful, including any licenses, certifications, or claims about your business. You're responsible for the accuracy of what your site says about your services, pricing, and qualifications, including copy we write for you once you approve it.
7. Who owns what
You keep ownership of Your Content and of any domain name registered in your name.
Once you've paid in full, you own the website we built for you, including its design and files, and we'll provide the files on request. Until then, Druvly owns the website and any drafts.
Some parts of a website are licensed rather than owned, such as fonts, open-source software, and third-party services. You may keep using those under their own license terms. Druvly keeps ownership of its general tools, templates, and know-how, and may reuse non-confidential techniques in other projects.
8. Optional hosting
If you want us to host and maintain your website, it's $150 per month. Hosting includes keeping your site online, security and software updates, and help with technical issues. Content changes are billed as described in Section 5.
Hosting renews monthly until you cancel. You can cancel anytime; cancellation takes effect at the end of the current month, and fees already paid aren't refunded for partial months. When hosting ends, we'll provide your website files on request and help you point your domain elsewhere.
If you host the website yourself, you're responsible for its hosting, security, and updates.
9. Acceptable use
You agree not to use Druvly or your website to:
- Break any law, or advertise services you're not licensed to provide;
- Publish false, misleading, or deceptive claims, including fake reviews;
- Infringe anyone else's intellectual property or privacy;
- Send spam or collect people's information without proper consent;
- Distribute malware or interfere with our systems or other customers' sites.
We may remove content that breaks these rules, and may suspend or end your service if you don't fix a problem after we tell you about it, or immediately if it's serious or illegal.
10. Results and availability
We build websites designed to help your business get found and contacted, but we don't guarantee any specific outcome, including search engine rankings, traffic, calls, leads, or revenue. Those depend on many things outside our control.
We work to keep your site online and secure, but we don't guarantee uninterrupted or error-free service. Maintenance, outages at our hosting or service providers, and events outside our control can cause downtime.
11. Third-party services
Druvly relies on third-party providers for things like payments, hosting, email, and domain registration. Your use of those services may also be subject to their terms, and we aren't responsible for their outages or actions.
12. Disclaimer
Except as expressly stated in these Terms, our services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows.
13. Limitation of liability
To the fullest extent the law allows, Druvly won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business, or data. Our total liability for any claim related to these Terms or our services is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
14. Indemnification
You agree to defend and indemnify Druvly against claims, damages, and costs (including reasonable legal fees) arising from Your Content, your business's services, or your breach of these Terms.
15. Suspension and termination
We may stop work on a project, or suspend hosting, if you don't pay an invoice when due, break these Terms, or use the service in a way that creates legal or security risk. Where reasonable, we'll notify you first and give you a chance to fix the issue. Sections that by their nature should survive (such as ownership, payment obligations, disclaimers, and limitation of liability) will survive.
16. Changes to these terms
We may update these Terms from time to time. If we make a material change, we'll email you or post a notice before it takes effect. Continuing to use Druvly after the change means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Florida, unless the law requires otherwise.
